Can a JV company be sold to a WFOE company?

I will be starting a new business, and since I do not have an existing registered foreign corporation that seems to prevent me from going the WFOE route.

If I choose to start with a JV/partnership with a Chinese citizen would it be feasible that I could eventually transfer the ownership to a WFOE at a later time?

Are there any restrictions that would prevent a WFOE from importing alcoholic beverages?

Yes, you can. but not with a Chinese citizen. JV is between a Chinese company and a foreign individual or entity.

Suggestion: U and your partner (the Chinese citizen) may together set up a HK company. in this case, you two could save a lot of headache to transfer the JV into a WFOE.

There is no restrictions for WFOE to import alcoholic beverages, you just need to apply many license/certificates.

BTW, to register a WFOE, you do not need a exisiting registered foreign corporation, you could set up the WFOE in your own ID/Individually. It is also a WFOE while the investor is a foreign individual(foreigners).
